These Terms and Conditions (“Terms”) govern access to and use of the Vrtual.ly website, software platform, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
1. The Vrtual.ly Service
Vrtual.ly provides tools that may help businesses capture and manage responses to marketing and other inquiries, present questionnaires, route requests, schedule meetings or appointments, send communications and reminders, collect payments where enabled, and provide reporting and attribution information. Features may change, be added, or be discontinued from time to time.
2. Accounts and Authorized Use
You are responsible for information submitted through your account, maintaining the confidentiality of account credentials, and all activity performed through your account. You must provide accurate information and promptly update information that becomes inaccurate.
You may use the Service only for lawful business purposes and in accordance with these Terms, applicable law, and any documentation or policies we make available for particular features.
3. Customer Responsibilities and End-User Data
If you use Vrtual.ly to collect information from prospects, customers, clients, or other individuals, you are responsible for your relationship with those individuals and for providing all notices, disclosures, permissions, and consents required for your collection and use of their information.
You are responsible for the content of your questionnaires, pages, messages, advertisements, campaigns, scheduling rules, and other materials or instructions you provide through the Service, and for ensuring they are accurate and lawful.
4. Messaging and SMS Terms
Vrtual.ly may provide text messaging functionality for certain programs and workflows. You may not use the Service to send unlawful, deceptive, harassing, abusive, or unsolicited messages, or messages that violate carrier requirements or applicable telecommunications and marketing laws.
For Vrtual.ly SMS programs, message frequency may vary and message and data rates may apply. Reply STOP to opt out of future messages from the applicable program and HELP for help. Consent to receive marketing text messages is not a condition of purchase.
Your mobile information will not be sold or shared with third parties for promotional or marketing purposes.
Text messaging originator opt-in data and consent will not be shared with third parties for purposes unrelated to providing the requested messaging service. We may share information with service providers, telecommunications carriers, and other vendors only as necessary to provide and deliver our messaging services.
Business customers using messaging functionality are responsible for obtaining and documenting any consent required for their own messaging programs, honoring opt-out requests, and ensuring that their messaging content and practices comply with applicable laws, regulations, carrier rules, and industry requirements.
5. Acceptable Use
You must not use the Service to:
- Violate any law, regulation, court order, third-party right, carrier rule, or industry requirement.
- Send spam, unsolicited commercial communications, or messages without required consent.
- Engage in fraud, impersonation, deception, harassment, threats, abuse, or other harmful activity.
- Upload, transmit, or distribute malware, viruses, spyware, or other malicious code.
- Attempt to gain unauthorized access to the Service, another account, or related systems or networks.
- Interfere with, disrupt, overload, probe, scan, or test the vulnerability of the Service without authorization.
- Scrape, harvest, extract, or systematically collect data from the Service except as expressly permitted by Vrtual.ly.
- Use the Service to create, distribute, or promote unlawful, explicit, pornographic, or violent content.
- Resell, sublicense, rent, or transfer access to the Service except as expressly authorized by Vrtual.ly.
6. Intellectual Property
Vrtual.ly and its licensors own the Service, including its software, design, branding, documentation, and related intellectual property. Subject to these Terms and any applicable subscription or service agreement, Vrtual.ly grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
You retain ownership of content and data you submit to the Service. You grant Vrtual.ly the rights reasonably necessary to host, process, transmit, display, and otherwise use that content and data to provide, secure, support, and improve the Service.
7. Third-Party Services and Integrations
The Service may connect with third-party products or services, such as telecommunications providers, payment processors, analytics services, calendar systems, or video-meeting providers. Your use of third-party services may be subject to separate terms and policies. Vrtual.ly is not responsible for third-party services or for their availability, acts, or omissions.
8. Fees, Billing, and Refunds
Fees, billing terms, subscription periods, usage charges, and any refund rights applicable to your account are governed by the pricing, order form, subscription terms, or other agreement presented to you when you purchase or activate paid Services. Unless required by law or expressly stated in an applicable agreement, fees paid are non-refundable.
9. Suspension and Termination
You may stop using the Service at any time, subject to any applicable subscription or service agreement. We may suspend or terminate access if we reasonably believe you have violated these Terms, created security or legal risk, failed to pay amounts due, or used the Service in a manner that may harm Vrtual.ly, our customers, users, carriers, vendors, or third parties.
10. Service Availability and Changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable because of maintenance, updates, third-party services, telecommunications networks, internet conditions, security events, or circumstances outside our control.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VRTUAL.LY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. VRTUAL.LY DOES NOT WARRANT THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS, MARKETING, LEAD, APPOINTMENT, CONSULTATION, REVENUE, OR OTHER RESULT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VRTUAL.LY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VRTUAL.LY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO VRTUAL.LY FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Vrtual.ly and its affiliates, officers, employees, agents, and suppliers from claims, liabilities, damages, losses, and reasonable expenses arising from your content, your use of the Service, your messaging or marketing practices, your violation of these Terms or applicable law, or your infringement of another person’s rights.
14. Privacy
Our Privacy Policy explains how Vrtual.ly handles personal information and is incorporated into these Terms by reference. Business customers remain responsible for their own privacy notices and legal obligations regarding information they collect through the Service.
15. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted with a revised ‘Last updated’ date. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
16. Governing Law
These Terms are governed by applicable United States law and, where a specific state law must be identified by contract, the law specified in the applicable order form or service agreement, without regard to conflict-of-law principles. This provision does not waive rights that cannot lawfully be waived.
